1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website, platform, and services (collectively, the "Services") provided by CareLogix Health ("CareLogix," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

CareLogix Health provides a cloud-based field operations platform designed for durable medical equipment (DME), home medical equipment (HME), and respiratory care providers. The Services include work order management, AI-powered fax intake, route planning, patient communications, real-time dispatch, billing readiness evaluation, and related features as described on our website.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice to active subscribers.

3. Accounts

To access certain features of the Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to transmit malware, viruses, or other harmful code
• Use automated systems (bots, scrapers) to access the Services without prior written consent
• Resell, sublicense, or distribute the Services without authorization

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

For customers who process protected health information (PHI) through the Services, data handling is governed by the terms of our Business Associate Agreement (BAA), which is executed separately.

You retain ownership of all data you submit to the Services. We do not claim ownership of your data. We process your data solely to provide the Services and as described in our Privacy Policy and any applicable BAA.

6. Intellectual Property

The Services, including all software, content, design, trademarks, and documentation, are owned by CareLogix Health and are protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

You may not copy, modify, distribute, sell, or lease any part of the Services or included software, nor may you reverse engineer or attempt to extract the source code of that software.

7. Payment Terms

If you subscribe to paid features of the Services, you agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly or annual basis as agreed upon. All fees are non-refundable except as expressly stated in your service agreement.

We reserve the right to change our pricing with 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CareLogix does not warrant that the Services will be uninterrupted, error-free, or completely secure. CareLogix does not provide medical advice, clinical decision support, diagnosis, or treatment recommendations. The Services are operational tools for field logistics and should not be used as a substitute for professional medical judgment.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARELOGIX HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our aggregate liability exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless CareLogix Health and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Termination

Either party may terminate the service relationship with 30 days' written notice. We may suspend or terminate your access to the Services immediately if you violate these Terms or if we are required to do so by law.

Upon termination, your right to use the Services will cease immediately. We will retain your data for 30 days following termination to allow for data export, after which it will be permanently deleted.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Ohio.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date." Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
